Agreement to Terms
These Terms of Use constitute a legally binding agreement between you and Numio, Inc. concerning access to and use of the Numio website, application, and related digital services.
By accessing the Services, you agree that you have read, understood, and agreed to be bound by these Terms. If you do not agree with all of these Terms, you are prohibited from using the Services and must discontinue use immediately.
The Services provide software tools for users to access and manage features related to digital assets. The Services do not purchase, sell, store, or exchange digital assets, and Numio does not have custody or control of your wallets or private keys.
Using the Services
You are responsible for the software, device, hardware, Internet service, mobile data service, and all associated fees needed to access and use the Services.
You may be required to create an account to use certain features. Account information must remain current, complete, and accurate.
Numio does not store your private key on any system or server owned or controlled by Numio. If you lose your private key, Numio cannot recover it for you, and you may permanently lose access to your digital assets.
Intellectual Property Rights
Unless otherwise indicated, the Services, content, trademarks, service marks, and logos are owned or controlled by Numio or licensed to Numio.
The content and marks are provided for personal, non-commercial use. No part of the Services may be copied, reproduced, distributed, sold, licensed, or otherwise exploited for commercial purposes without written permission.
User Representations
By using the Services, you represent that your registration information is accurate, that you have legal capacity to agree to these Terms, that you are not under 13, and that your use will comply with applicable laws.
If information you provide is untrue, inaccurate, not current, or incomplete, Numio may suspend or terminate your account and refuse current or future use of the Services.
Prohibited Activities
You may not use the Services for any purpose other than that for which Numio makes them available, or in connection with commercial endeavors except those endorsed or approved by Numio.
Prohibited activity includes unauthorized scraping, misleading users, interfering with security features, uploading harmful code, impersonation, automated misuse, harassment, and using the Services for illegal or unauthorized purposes.
User Generated Contributions
The Services may allow users to create, submit, post, display, transmit, or distribute content and materials. Contributions may be viewable by other users and through third-party websites.
When you make Contributions available, you represent that you have the required rights and permissions and that the Contributions do not violate third-party rights, laws, or these Terms.
Copyright Infringements
Numio respects the intellectual property rights of others. If you believe material available through the Services infringes your copyright, you may notify Numio using the contact information provided on the page.
Term and Termination
These Terms remain in full force and effect while you use the Services. Numio may deny access, terminate use, delete accounts, or remove content at any time, without warning, in its sole discretion.
Modifications and Interruptions
Numio reserves the right to change, modify, remove, suspend, or discontinue all or part of the Services at any time without notice.
The Services may not be available at all times due to hardware, software, maintenance, or other interruptions.
Governing Law and Dispute Resolution
These Terms and your use of the Services are governed by the laws of the State of Delaware, without regard to conflict of law principles.
These Terms include informal negotiation, binding arbitration, venue, class-action waiver, and exceptions for certain intellectual property, privacy, unauthorized use, and injunctive relief claims.
Disclaimer and Limitations of Liability
Using digital-asset software, applications, and services necessarily entails risks, including device failures, malware, network delays, asset price movement, theft, inability to access assets, and service availability issues.
The Services are provided on an as-is and as-available basis. To the fullest extent permitted by law, Numio disclaims warranties and limits liability for damages arising from use of the Services.
Promotions and Giveaways
Numio may conduct regular or one-time promotions. Users may opt into promotions in the Numio app settings and are opted out by default.
Numio reserves the right to end promotions or giveaways, withhold prizes, require KYC for prizes, and disqualify participants suspected of cheating or using multiple profiles.
